Short Description
Job Responsibilities
1. Statutory and Corporate Compliance - 30%
1.1 Maintain statutory registers including members, directors, and key managerial personnel.
1.2 Ensure timely filing of statutory returns and compliance documentation such as MBP-1, DIR-8, DIR-3,MSME-1, DPT-3,AOC-4,MGT-7,ADT-1, MGT-14 .
1.3 Monitor changes in corporate laws and regulatory requirements.
1.4 Implement necessary actions to ensure full legal and regulatory compliance.
1.5 Handle other corporate secretarial and compliance-related matters as assigned.
1.6 Provide governance advisory support to management and stakeholders.
1.7 Ensure compliance with FEMA (Foreign exchange management act) regulations applicable to the company’s activities such as FLA return. (Foreign Liabilities and assets)
1.8 Monitor foreign exchange transactions and related reporting requirements.
1.9 Coordinate filings and documentation with relevant authorities.
2. Board and Committee Secretarial Support - 10%
2.1 Organize and coordinate Board Meetings, General Meetings, and Annual General Meetings (AGMs).
2.2 Prepare meeting agendas, notes, and supporting documentation including financial presentations .
2.3 Record, finalize, and maintain minutes of meetings in compliance with statutory requirements.
2.4 Provide secretarial support to Board committees and special projects.
3. Accounting and Financial management - 40%
3.1 Book keeping- Invoice & provision booking in the books of accounts (Sapna and Vivek doing temp)
3.2 Bank Payments- Doing weekly and monthly Foreign and Domestic payments.(Vivek)
3.3 Accounts receivable management and reconciliation. (Debit note:Vivek and lokesha)
3.4 Bank reconciliation and Fixed asset registration management including calculation of depreciation as per Companies act (Vivek and Sachin)
3.5 Perform and Support GST & TDS related compliance and fillings (Lokesha)
3.6 Support in Audits and tax Assessments (All)
4. Budgeting and Forecasting Governance - 10% (Basic level input on budget)
4.1 Ensure alignment of budgets and forecasts with organizational objectives. (Rohit)
4.2 Review assumptions and inputs for accuracy and consistency. (Rohit)
4.3 Support leadership with scenario analysis and forward-looking projections.
5. Regulatory and External Stakeholder management - 10%
5.1 Liaise with external regulators and statutory authorities. (Anyone)
5.2 Coordinate with auditors, legal advisors, and professional consultants.
5.3 Support audits, inspections, and regulatory reviews as required.
5.4 Liaise with Bank
Job Requirements
- Certified Company Secretary with B. Com/ M.Com with Minimum 5 years of experience
- CS (Mandatory) and CA / MBA Finance/M.com/B.Com (Preferable)
- Good Knowledge of advance Excel.
- Experience working in Japanese corporate culture will be a plus.
- Good verbal and written communication skills
- Good interpersonal skills
- Sense of Urgency and dedicated
- 10% travel based on business needs.
